The Gray Line Worldwide Board of Directors is composed of elected licensees and the corporation’s CEO, representing the interests of the global network. As active Gray Line licensees themselves, the directors bring valuable firsthand experience and practical insight to the governance and strategic direction of the brand.
The Board is responsible for overseeing compliance with the Governing Document, shaping strategic direction, and ensuring the long-term health and unity of the Gray Line organization. Directors are elected by their fellow licensees and serve staggered terms to provide continuity and balanced representation across regions.

Licensees in good standing may nominate eligible candidates for election to the Gray Line Worldwide Board of Directors by submitting the official nomination form no later than 5:00 PM Denver Time on June 30, 2026.
The number of Directors is set by the Gray Line Board but must be at least eleven (11) and not more than nineteen (19) Directors, one of whom is the CEO of the Corporation. Additionally, our Bylaws require that there shall be at least one director from each of the following world regions: Latin America (Mexico, Central and South America), North America (United States and Canada), EMEA (Europe, the Middle East and Africa) and Asia Pacific (Australia, New Zealand and Asia).

In addition, Enrique Flores (Los Cabos) has resigned from the Board of Directors due to other professional commitments and responsibilities requiring his full attention. We thank Enrique for his service and contributions to Gray Line Worldwide during his time on the Board.

Directors, other than the CEO, at the time of their election and during their term in office shall be either
(a) full time employees of a Licensee or parent company of a Licensee or
(b) an equity holder of a Licensee or parent company of a Licensee.
No director, during their term of office, shall serve as a director or member of management of another entity if holding such positions simultaneously would result in a conflict of interest or violation of anti-trust laws or regulations due to overlapping or interlocking Boards or management.
Directors are required to attend regularly scheduled meetings, and specially called meetings of the Board of Directors. In consideration of Directors being located globally, these meetings may occur either virtually during any time of the day/night, or in-person at locations around the world.
Gray Line Board Members do not receive compensation of any kind and are responsible for all registration fees, travel expenses (except hotel accommodation and meals) and incidental costs associated with attending required in-person meetings.
To nominate someone for the Board of Directors, please fill out the nomination form below and submit it no later than 5:00pm Denver Time on June 30, 2026.
During the Annual General Meeting on September 30, 2026, the open positions on the board will be filled by a vote of the Licensees in attendance at the meeting, either in person or through an authorized Representative or Proxy Holder.

During the business session on September 30, 2026 the Gray Line Governance Committee will publish, and announce to all Licensees, its slate of nominees for Directors, as well as the names of qualified nominees received through this process. The Licensees (or their duly authorized Representative or Proxy Holder) will then vote on the proposed slate during the Annual General Meeting later that day, on September 30, 2026.
